On 24 January 2024, the European Commission published a proposal for a new regulation, repealing and replacing the current EU FDI Screening Regulation. In addition, the EU Foreign Subsidies Regulation recently incorporated a new notification scheme for transactions above a certain threshold.

The Biden Administration also released an executive order on the establishment of an outbound investment screening mechanism with implications for investments in China and other countries of concern. Since then, the EU has already announced its plans to consider introducing a similar instrument.

Join our speakers at this complimentary webinar as they discuss the newest legal challenges, risks and complexities affecting cross-border merger reviews. Key topics will include:

  • How the EU Commission’s new regulatory proposal will affect transactions involving one or more Member States: Impact of the proposal that Member States implement a national screening mechanism within 15 months of the Proposal’s entry into force
  • Notification requirements under the EU FSR: Which types of M&A transactions have been scrutinized and lessons learned
  • The prospect of outbound investment screening mechanisms and their implications
